Current Contract contains those terms and conditions which are necessary for the use of the “MSDocS” safety data sharing and storing system operated on www.msds-europe.com website.  By clicking on the button “I accept the General Terms and Conditions”, you enter into a contract with ToxInfo Bt. (henceforth called: Service provider) and you accept the Terms of the Service provider regarding the use of the MSDocS system. 

Service provider reserves the rights for the unilateral modification of the Contract, in this case the Service provider has to inform the MSDocS users (henceforth called: Client) about the modifications 60 days before the modifications come into force.

2. Basic concepts:

Service provider:

The operator and owner of the MSDocS system stated in section 1 of the General Terms and Conditions.

MSDocS (Intelligent MSDS sharing and download system):

See: Section 3 of General Terms and Conditions

Client:

Legal person, who has a direct contact to MSDocs, owns an MSDocS account and has associated user ID and password.

The customer may have only one account.  

Customer may not be a natural person.

Partner:

Natural or legal person who directly connected to the Client and Client shares documentation with the person.

3.  MSDocS use and function:

MSDocS is a special file-storage and notification system, which allows uploading, storing, organizing and exploring the safety data sheets and related documents.  This opens up the possibility that customers save their data into the system and leaves them to share with partners.

The MSDocS - for special rates - provides direct access to other services such as safety data preparation, translation, supervision, adaptation, etc., and you can use other online information and ordering options as well.

4. Uploaded contents, restrictions

The information units which can be uploaded in MSDocS system are the safety data sheets. In addition to the material safety data sheets, other professional content can be uploaded as well such as: label design, product information, documents about the ingredients and measuring protocols. 

Only Word and PDF documents can be used in this system for storage and sharing.

No video-and image format documents, illegal and pornographic materials, and those contents for that the customer does not have sufficient permissions can not be published on this website.

5. Intellectual property rights

Client hereby states that Client owns the copyright or the right to use regarding the documents uploaded by the Client and does not infringe Intellectual Property Rights of any third party.

6. The rights and obligations of the “Partner”

Partner notices that the sharing done by the Client is offered exclusively for the Partner’s personal use, and Partner is not entitled to share such information with any unauthorized third party.

7. Prices and costs

The use of MSDocS system is free of charge till 15th December 2011.  As a condition of cost-free use is the placement of the MSDocS logo and the www.msds-europe.com hyperlink on the website of the Client. The logo is supplied by the Service provider to the Client, this logo can be found and downloaded from the website of the Service provider.

The placement of the the logo and the hyperlink has to be done within 20 working days, after the receival of the username and password for the MSDocS. 

If the Client does not meet the above mentioned conditions, the use of MSDocS Service may be suspended or the system may be used for a specific tariff.

Service provider is entitled to do changes in the tariff.  Service provider informs the Clients about the possible changes via its website 60 days before the modification comes into force the latest.

8. Exclusion of liability

Service provider does not take responsibility that the MSDocS system operated on www.msds-europe.com website will be operable or accessible or fail-safe within all circumstances. Accordingly, Service provider does not take any responsibility for consequences or financial losses caused by the above mentioned circumstances.

Service provider does not take any responsibility - neither financial nor in moral sense - for the contents uploaded and/or shared by the Client.

9. Privacy Policy 

Service provider is doing everything possible to avoid the unauthorized access to the Client’s documents, but does not take any responsibility regarding this issue.

Service provider ensures that Service provider does not give information (username, password) about the Client under any circumstances to a third party. The data and documents stored in the MSDocS system by the Client will not be used and viewed.

Service provider does a back up min. in each 30 days.

If the Contract is terminated based on Section 11 of current Contract, Service provider deletes the user account and all the documents stored by the Client within 5 days. 

10. Exclusion

Service provider can exclude those Clients which does not observe the prescriptions and provisions of the current Contract.

11. Termination of the Contract

The Contract is terminated in the below mentioned cases:

• in written form by common assent, from a commonly stated time

• Client can initiate the termination of the Contract exclusively in written form. The termination request for the Contract may be sent via post service, e-mail or fax.

• In case of violation of the General Terms and Conditions immediate termination of the Contract is applied.
